Project01 - Terms & Conditions

Project01 ("Project01," "we," "us," or "our") is currently operated by an informal team of four founders based in Croatia. Project01 is not yet organized as a registered legal entity (company or trade). Until a legal entity is formed and these Terms are updated accordingly, the individuals operating Project01 are collectively responsible for the platform, and references in these Terms to "Project01" mean that team.

We will update this section, including a registered company name, address and OIB, once incorporation is complete.

By creating an account or otherwise using Project01 (the "Service"), you agree to these Terms & Conditions and to our Privacy Policy and Data Collection & Processing Disclosure, which are incorporated by reference. If you do not agree, do not use the Service.

Project01 is a web-based AI workspace for startup founders. It includes tools such as an idea-generation workspace ("Idea Lab"), customer and market research boards, product planning tools, AI-assisted chat and summarization, and related features. Features and their availability may change as the Service develops.

The Service is generally available to founders of any age, similar to the general terms of other widely used AI platforms. If you are under the age of majority in your place of residence, you confirm that your parent or legal guardian is aware of and permits your use of the Service, and that you have their permission to input any business or personal information into the platform. We do not currently operate age-verification or parental-consent mechanisms - see our Privacy Policy for further detail on this point, and note that this is an area we expect to revisit as the Service grows.

• You must provide accurate information when creating an account and keep your login credentials confidential.
• You are responsible for all activity that occurs under your account.
• A "workspace" corresponds to a startup. Workspaces may have one or more members. Only the workspace owner can delete a shared workspace; any member may leave a workspace or delete their own account.
• You may use email/password sign-in or "Sign in with Google." If you use Google sign-in, Google shares your name, email address and profile picture with us, as described in our Privacy Policy.

• You and your team retain ownership of the content you create in Project01 (startup profiles, chat messages, research boards, documents, uploaded files, and similar content, together "Your Content").
• You grant Project01 a limited, non-exclusive license to host, store, process, transmit and display Your Content solely as necessary to operate, maintain and improve the Service, including to power AI features. We do not sell Your Content, and we do not use it to train third-party AI models beyond what is necessary to generate your requested outputs, except as your AI provider's own terms may separately describe (see our Data Collection & Processing Disclosure).
• We treat business-sensitive fields you enter (such as revenue, funding status, traction and paying-customer information) as confidential and will not disclose them outside the Service except as required to operate it, at your direction, or as required by law.

Project01's research and market-analysis features let you enter information about people who are not Project01 users - for example, customer interviewees, contacts, or people named in competitor research. This is an important responsibility to understand:

• You are the data controller for any personal data about third parties that you input into the Service. You are solely responsible for having a valid legal basis (which may include consent) to collect, use and store that data, for giving any required privacy notices to those individuals, and for responding to any requests they make about their own data.
• Project01 acts only as a data processor for this Third-Party Data, processing it solely on your instructions (i.e., to provide you the Service) and in accordance with our Data Collection & Processing Disclosure.
• You must not upload special-category data (e.g., health information, political opinions, religious beliefs, sexual orientation, biometric or genetic data) about third parties unless you have an independent, verified legal basis to do so and have considered the heightened risk of doing so on a platform without dedicated special-category-data controls.
• If you receive a request from a third party to access, correct or delete their data, you are responsible for fulfilling that obligation. We will provide reasonable technical assistance where we can, but tools to locate and remove all derived copies of third-party data (for example, in AI-generated summaries) are limited today - see Section 9 of our Privacy Policy.

Certain features are powered by third-party AI models (currently Anthropic's Claude models). AI-generated content may be inaccurate, incomplete, or inappropriate for your specific business, legal, financial or medical circumstances. You should independently verify anything you plan to rely on. AI outputs are provided "as is," without warranty of accuracy.

You agree not to:

• use the Service for any unlawful purpose, or to input content you do not have the right to input (including personal data of others without a lawful basis);
• upload malware, attempt to breach the Service's security, or interfere with other users' use of the Service;
• reverse-engineer, scrape, or resell access to the Service without our written permission;
• harass, defame, or infringe the rights of others through content posted on the Service;
• attempt to circumvent any access, rate, or storage limitations we put in place.

We may investigate and take appropriate action against anyone who violates this section, including removing content, suspending or terminating accounts, and, where required, reporting to law enforcement.

We may suspend or terminate your account if you violate these Terms, pose a security risk to the Service or other users, or if required by law. You may stop using the Service and request deletion of your account at any time; see our Privacy Policy for what account deletion does and does not remove.

Project01 does not currently charge for use of the Service. If we introduce paid plans in the future, we will publish separate pricing, subscription, cancellation, and refund terms before any charge is made, and will provide notice before your use of the Service becomes subject to payment.

The Project01 name, logo, and the underlying software, design and branding of the Service are owned by the Project01 team (or our licensors) and are not covered by the license you grant us under Section 6. Nothing in these Terms transfers ownership of the Service itself to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECT01 AND THE INDIVIDUALS OPERATING IT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) €100. THIS SECTION DOES NOT LIMIT LIABILITY WHERE PROHIBITED BY APPLICABLE CONSUMER-PROTECTION LAW, INCLUDING MANDATORY RIGHTS OF EU CONSUMERS.

You agree to indemnify and hold Project01 and the individuals operating it harmless from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, your breach of these Terms, or your violation of any third party's rights - including, in particular, claims arising from Third-Party Data you input without a valid legal basis to do so.

These Terms are governed by the laws of the Republic of Croatia, without regard to conflict-of-law principles, and any dispute will be subject to the exclusive jurisdiction of the competent courts of Croatia - except that nothing in this section limits any mandatory consumer-protection rights you have under the law of your own country of residence if you qualify as a consumer under EU law.

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date, and, for material changes, will make reasonable efforts to notify active users in advance.
